TF movie 06/07
is the live action movie of TF generation 1 which is meant to come out in 06/07 true or just a rumour someone made up ?

It's certainly true, with the movie slated to come out on Independence Day of 2007.

The movie is also being produced by Don Murphy (LXG) and Tom DeSanto (X-Men 2).

I think Soundwave will be in it - but I'm not sure what he's going to be.
The movie will feature characters from the first year of G1 (1984) - although there will probably be no more than a dozen Transformers in the movie all up, at least, a dozen that feature prominently. There will probably be a lot that will feature discreetly.
As mentioned before, one of the producers working on this movie is Tom DeSanto, who worked on X-Men 2. X-Men, like Transformers, is a story with a very large cast of characters, and introducing all these characters into a single movie is just too overwhelming for non-fan general audiences, which was the mistake made by the first Transformers movie in 1986 (despite the cult legendary status of Transformers the Movie, it was a box office flop). The X-Men movies only focus on a limited number of primary cast. You see other characters like Kitty Pryde, Beast, Siren etc as background/supporting characters, but only briefly so they don't distract from the main cast and story.
Transformers will work in a similar way. There'll only be about a dozen (if not less) main Transformers, with only handful on each side. We would see many other Transformers along the way, but only briefly. As Spielberg said, they are intending to make sequels, and it will be in these sequels that additional characters will be added onto the main ensemble (just like in X-Men).
Also, it has been confirmed that Megatron will not be a gun. I believe there are two main problems with Megatron being a gun:
(1) Mass-shunting is a concept that was barely believable in the cartoon, and something which would be far more difficult for live-action movie goers to swallow. Even if Megatron's gun mode was to scale for other Transformers, you're looking at a giant robot transforming into a gun the size of crocodile. For this reason, I'm somewhat skeptical if they would still do Soundwave as a small portable music playing device.
(2) I believe Hasbro won't allow it because it would mean that they wouldn't be able to sell the toy in America, as it is against U.S. law to sell toy guns that are look like realistic guns unless they have a bright orange tip on the barrel, which would look stupid (which is why the Megatron reissues were never released by Hasbro). He would most likely be a tank, which honestly, is what Megatron has mostly been. There have been 3 tank Megatrons (G2, Combat Hero and Armada). Although Megatron could also be a jet fighter - we've had at least 2 jet fighter Megatrons (Machine Wars and Energon, MW Megatron was an F-22). The advantage of being a jet fighter is that Megatron can actually function as a squadron leader for the other Decepticon jets, although it would diminish Starscream's role as air commander.
